Vorqal Terms of Service

These Terms of Service (“Terms”) are a legally binding agreement between you and Vorqal (“Vorqal,” “we,” “us,” or “our”). They govern your access to and use of the Vorqal website, desktop application, and related products and services (collectively, the “Services”). By downloading, installing, registering for, or using the Services, you confirm that you have read, understood, and agreed to these Terms.

If you do not agree to these Terms, you must not access or use the Services.

Dispute notice

To the extent permitted by applicable law, disputes must be brought individually. You waive participation in class or representative actions and agree to the dispute process described below.

1. Service Overview and License Terms

1.1 Description of the Services

Vorqal provides an AI-powered desktop application that can process screen visuals and other user-provided context to deliver real-time assistance during exams, interviews, meetings, and similar situations. The Services may include free and paid offerings with different usage limits and features. Vorqal provides information and assistance but does not control your device or make decisions on your behalf.

1.2 License Grant

Subject to these Terms, Vorqal grants you a personal, limited, revocable, non-exclusive, and non-transferable license to download, install, and use the Services. The Services are licensed, not sold. You may not sell, sublicense, lease, distribute, modify, reverse engineer, or create derivative works from the Services except where applicable law expressly permits it.

1.3 Changes, Availability, and Support

We may add, change, suspend, or remove features at any time. The Services may be interrupted by maintenance, technical issues, third-party failures, or events outside our control. We do not guarantee uninterrupted availability and are not obligated to provide any particular update, correction, or level of support.

2. User Accounts and Payment

2.1 Account Registration

Some features require a user account. You must provide accurate and current information, protect your login credentials, and accept responsibility for activity under your account. Notify us promptly at support@vorqal.com if you believe your account has been accessed without authorization. By creating an account, you agree to receive essential service communications. You may opt out of promotional messages where offered.

2.2 Your Representations

By using the Services, you represent that:

  • Your registration information is accurate, current, and complete.
  • You have the legal capacity to agree to these Terms.
  • You will not use another person's identity or account without authorization.
  • If you are under 18, you have permission from a parent or legal guardian.
  • You will not access the Services through unauthorized automated means.
  • Your use will comply with these Terms and all applicable laws and regulations.

We may suspend or terminate accounts containing false, outdated, or incomplete information, or accounts used in violation of these Terms.

2.3 Subscriptions and Billing

Plans. We may offer free and paid plans with different features, limits, billing periods, and prices. Current terms are shown at checkout when paid subscriptions are available.

Payment authorization. You authorize our payment processor to charge your selected payment method for the displayed price, taxes, and applicable fees. You must provide accurate billing information.

Recurring billing. Recurring subscriptions renew automatically at the then-current rate until canceled. We may correct pricing or billing errors and will provide any notice required by law.

Cancellation. You may cancel through your account or by contacting support. Access ordinarily continues through the paid billing period, and cancellation prevents the next renewal.

2.4 Refunds and Payment Disputes

If you are dissatisfied with a purchase, contact support@vorqal.com. Refunds are governed by our Refund Policy, which forms part of these Terms. In summary: every account receives a 3-day free trial, refund requests on paid subscriptions must be made within 24 hours of the charge, and refunds are issued where the product failed to run on a supported device. We do not provide pro-rata refunds for the unused remainder of a billing period. Approved refunds are returned to the original payment method and may take several business days to appear. Nothing here limits rights you have under mandatory consumer law in your jurisdiction.

Please contact us before initiating a chargeback so we have an opportunity to resolve the issue. Fraudulent or abusive payment disputes may result in account suspension or termination, and we may submit relevant transaction and account records when responding to a dispute.

3. Acceptable Use and Restrictions

3.1 Prohibited Uses

You may not use the Services to:

  • Violate any local, state, national, or international law or regulation.
  • Impersonate another person or engage in fraud, deception, or misrepresentation.
  • Harass, threaten, abuse, or harm another person.
  • Violate another person's privacy, publicity, intellectual property, or other rights.
  • Scrape, copy, or systematically collect data from the Services without permission.
  • Circumvent or interfere with security, authentication, usage limits, or access controls.
  • Upload malware or probe, scan, or test our systems for vulnerabilities.
  • Use unauthorized bots, scripts, or automation to access or burden the Services.
  • Send spam, unauthorized advertising, or other unwanted communications.
  • Impersonate Vorqal, its personnel, another user, or another entity.

3.2 User Responsibility

  • The Services support users but do not replace individual judgment or responsibility.
  • Schools, testing bodies, employers, and other organizations may restrict external assistance.
  • You are responsible for understanding and following all rules that apply in your situation.
  • Vorqal is not responsible for consequences caused by your violation of institutional or professional policies.
  • You agree to use the Services lawfully and ethically.

3.3 Service Management

We may investigate suspected violations, restrict or terminate access, remove content, preserve evidence, cooperate with lawful requests, and take other reasonable steps to protect users, our systems, and our rights.

4. Intellectual Property and User Data

4.1 Vorqal Intellectual Property

Vorqal and its licensors own all rights in the Services, including software, source code, designs, algorithms, text, graphics, databases, trademarks, logos, and other content. Except for the limited license granted above, no rights are transferred to you. You may not copy, republish, distribute, sell, or commercially exploit the Services without prior written permission.

4.2 User Inputs and Screen Data

You retain ownership of information and content you submit or permit the Services to process, including screen captures and prompts (“User Inputs”). You grant Vorqal a limited, worldwide, non-exclusive license to host, process, transmit, and use User Inputs only as needed to operate, secure, support, and improve the Services. You represent that you have the rights and permissions needed to provide those inputs.

4.3 Aggregated Data and Third-Party Services

We may create aggregated or de-identified information that does not reasonably identify you and use it to improve and analyze the Services. The Services may depend on third-party providers, including authentication, hosting, AI, analytics, and payment providers. Their separate terms and privacy practices may apply to services they operate.

5. Legal Terms and Conditions

5.1 Term and Termination

These Terms remain effective while you use the Services. You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms, create risk or legal exposure, fail to pay amounts due, or if we discontinue the Services. Provisions that by their nature should survive termination will remain effective.

5.2 Disclaimer of Warranties

The Services are provided “as is” and “as available.” To the maximum extent permitted by law, Vorqal disclaims all express and implied warranties, including merchantability, fitness for a particular purpose, accuracy, reliability, availability, and non-infringement. AI-generated information may be incomplete, inaccurate, or unsuitable. You must independently verify information before relying on it.

5.3 Limitation of Liability

To the maximum extent permitted by law, Vorqal and its personnel will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, lost opportunities, or academic, professional, or reputational consequences arising from the Services. Vorqal's total liability for all claims will not exceed the amount you paid Vorqal during the six months before the event giving rise to the claim.

5.4 Indemnification

You agree to defend, indemnify, and hold harmless Vorqal and its personnel from claims, losses, liabilities, damages, and reasonable legal expenses arising from your use of the Services, breach of these Terms, violation of law, infringement of third-party rights, or harmful conduct toward another person.

5.5 Dispute Resolution

Before filing a claim, you agree to contact support@vorqal.com and attempt to resolve the dispute informally for at least 30 days. Where permitted by law, unresolved disputes will be resolved individually through binding arbitration administered by a mutually agreed provider, except that either party may bring an eligible claim in small-claims court or seek urgent injunctive relief for misuse of intellectual property or systems.

You may opt out of arbitration by emailing support@vorqal.com within 30 days after first accepting these Terms. Any waiver of jury trial or class proceedings applies only to the extent permitted by applicable law. If part of this dispute section is unenforceable, the remaining provisions continue to apply.

5.6 Compliance with Law

You are solely responsible for ensuring your use complies with all laws and rules applicable to you, including those relating to privacy, education, employment, intellectual property, and professional conduct.

6. Miscellaneous

Electronic communications. You consent to receive account, subscription, legal, and service notices electronically, and agree that electronic notices satisfy legal requirements for written communications.

Feedback. If you send ideas or suggestions, you grant Vorqal permission to use them without restriction or compensation.

Independent parties. These Terms do not create an employment, partnership, agency, or joint-venture relationship.

Changes. We may update these Terms. For material changes, we will provide reasonable notice when required. Continued use after the effective date of revised Terms constitutes acceptance.

Assignment. You may not assign these Terms without our consent. Vorqal may assign them in connection with a merger, acquisition, reorganization, or transfer of the Services.

Severability and waiver. An unenforceable provision will be limited or removed without affecting the remainder. A failure to enforce a provision is not a waiver.

Force majeure. Vorqal is not liable for delays or failures caused by events beyond our reasonable control.

Entire agreement. These Terms and our Privacy Policy form the entire agreement concerning the Services and supersede prior communications on the same subject.

Vorqal is not affiliated with, endorsed by, or sponsored by Honorlock, Proctorio, Respondus, or any other third-party brand mentioned on the website. All trademarks belong to their respective owners.
